Welcome to MedAffairsAI MCP (the “Service”), operated by Erudio Health Inc. (“Company,” “we,” “us,” or “our”). These Terms of Use (the “Terms”) govern your access to and use of the Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

IMPORTANT: If you or your organization has entered into a separate Master Services Agreement (MSA) with Erudio Health Inc., the terms of that MSA will govern in the event of any direct conflict with these Terms. Otherwise, these Terms apply to all use of the Service by you, the end-user.

1. Acceptance of Terms

1.1 Binding Agreement

These Terms constitute a legally binding agreement between you and the Company. By authenticating with the Service or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

1.2 Updates to Terms

We may revise these Terms from time to time at our sole discretion. If we make material changes, we will notify you (e.g., by posting a notice on the Service or sending an email). By continuing to access or use the Service after the changes become effective, you agree to be bound by the revised Terms.


2. Scope of the Service

2.1 Description

MedAffairsAI MCP is a Model Context Protocol (MCP) server that provides AI assistants with access to curated medical education content, including podcasts, YouTube videos, and X/Twitter threads from medical professionals. The Service is designed to be accessed programmatically by MCP-compatible AI assistants (such as Claude, ChatGPT, or other applications) on behalf of authenticated users.

3. Eligibility

3.1 Healthcare Professionals

By using the Service, you represent and warrant that you are a licensed healthcare professional (“HCP”), or you are accessing the Service on behalf of an HCP, and that you have the authority to enter into these Terms.

3.2 Age Requirement

You must be at least 18 years of age or the age of majority in your jurisdiction, whichever is older, to use the Service. If you are under the applicable age threshold, you are not permitted to use or access the Service.


4. Account and Authentication

4.1 OAuth Authentication

Access to the Service requires authentication via OAuth 2.1 with Google Sign-In. By authenticating, you authorize us to issue access tokens that allow AI assistants to access the Service on your behalf.

4.2 Account Responsibility

You are responsible for maintaining the security of your authentication credentials and for all activities that occur under your account or using tokens issued to you. If you become aware of unauthorized access, you must notify us immediately at privacy@erudio.com.

4.3 Token Security

You are responsible for ensuring that any AI assistant or application you authorize to use your tokens handles them securely. We are not responsible for unauthorized access resulting from compromised third-party applications.


5. No HIPAA Relationship

5.1 No PHI

The Service is not intended to receive, store, or process Protected Health Information (PHI) as defined under the U.S. Health Insurance Portability and Accountability Act (“HIPAA”). You agree not to submit PHI to the Service. If you believe you have submitted PHI, please contact us immediately at privacy@erudio.com so we can review and delete it if necessary.

5.2 Not a Business Associate

Erudio Health Inc. is not acting as a “Business Associate” or “Covered Entity” under HIPAA. If you or your organization require HIPAA-compliant processing, you must contact us for a separate agreement. By using the Service without such an agreement, you acknowledge and agree that HIPAA obligations do not apply.


6. Use of the Service

6.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial, professional use through MCP-compatible AI assistants.

6.2 Rate Limits

To ensure fair usage and service availability, the following rate limits apply:

7. Medical Disclaimer

7.1 Educational Purposes Only

The content provided through MedAffairsAI MCP is for educational and informational purposes only and is not a substitute for professional judgment or clinical decision-making.

7.2 No Doctor-Patient Relationship

Using the Service does not establish a doctor-patient relationship. You agree to use your professional judgment in evaluating any information obtained through the Service.

7.3 User Responsibility

You acknowledge and agree that you remain solely responsible for verifying the accuracy, applicability, and compliance of any content or information provided, with all professional standards and regulatory requirements.


8. Intellectual Property

8.1 Ownership

All content, features, and functionality of the Service (including text, graphics, logos, code, and software) are owned by or licensed to Erudio Health Inc.

8.2 Restrictions

You may not reproduce, distribute, modify, or create derivative works of the Service or its content without our prior written permission.

8.3 Content Sources

The medical education content accessible through the Service is sourced from third-party creators (podcasts, YouTube channels, X/Twitter accounts). We aggregate and index this content with appropriate attributions. Original content remains the property of its respective creators.


9. Privacy

9.1 Privacy Policy

Our Privacy Policy explains how we collect, use, store, and protect your personal information. By using the Service, you agree to the terms of our Privacy Policy.

9.2 Data Retention

We may retain your data (including API usage logs) in accordance with our Privacy Policy. If you wish to delete your account or request deletion of specific data, please follow the procedures outlined in the Privacy Policy.

The Service is designed to be accessed through third-party AI assistants such as Claude (by Anthropic) and ChatGPT (by OpenAI). We have no control over these third-party platforms and disclaim any liability for:

WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not guarantee the accuracy or completeness of any content provided through the Service.


12. Limitation of Liability

12.1 Indirect Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ERUDIO HEALTH INC., ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE OR THESE TERMS.

12.2 Cap on Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (U.S. $100).

We specifically disclaim any liability arising from your use of information provided through the Service for clinical or diagnostic purposes. You remain solely responsible for all clinical decisions.

12.4 No PHI

We disclaim liability for any PHI you submit in violation of these Terms.

We specifically disclaim any liability for how third-party AI platforms process, present, or act upon information from our Service.


13. Relationship to Master Services Agreement

If you or your organization have executed a Master Services Agreement (MSA) with Erudio Health Inc. for enterprise use of our Service, that MSA will govern in the event of any direct conflict with these Terms. Otherwise, these Terms represent the entire agreement between you and Erudio Health Inc. regarding your personal use of the Service.


14. Governing Law and Arbitration

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

14.2 Binding Arbitration - Please Read This Section Carefully

YOU AND ERUDIO HEALTH INC. AGREE TO RESOLVE ANY DISPUTES EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION IN LOS ANGELES COUNTY, CALIFORNIA, IN ACCORDANCE WITH THE RULES OF THE AMERICAN ARBITRATION ASSOCIATION (AAA). BY USING THE SERVICE, YOU EXPRESSLY WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION.

  1. No Class Actions: You agree that all claims must be brought in your individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
  2. Excluded Claims: Notwithstanding the foregoing, either Party may seek injunctive or other equitable relief for certain claims (e.g., intellectual property or confidentiality obligations) in a court of competent jurisdiction without first engaging in arbitration.

14.3 Judgment

The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.


15. Indemnification

You agree to defend, indemnify, and hold harmless Erudio Health Inc., its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your misuse of the Service in violation of applicable law or third-party rights; or (c) any unauthorized use of tokens or credentials issued to you.


16. General Provisions

16.1 Entire Agreement

Except as otherwise noted in Section 13 (Master Services Agreement), these Terms and our Privacy Policy constitute the entire agreement between you and Erudio Health Inc. regarding your use of the Service.

16.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms (or any rights or obligations herein) without our prior written consent. We may freely assign or transfer these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, such as natural disasters, war, acts of terrorism, labor disputes, internet or hosting provider outages, or governmental actions.
